AGP is a shareholder of the company and is dissatisfied with the affairs of the company alleging that these have been conducted in a manner specifically oppressive to AGP or are unfairly prejudicial to AGP. The company notes that during the period of January 2008 to February 2009 Hagge served as a voting member of the company’s board of directors and as a member of the audit and finance committee. As relief, AGP seeks an order directing repayment to AGP all or part of the funds paid by AGP for shares of the company, with interest, in exchange for all or part of AGP’s shares of the company and removal of Dr. Langer and Grima as directors of the company.
The company believes that AGP’s claims are without merit and intends to vigorously defend the action and to seek costs against AGP in addition to such other remedies which may be available to it.
